These Terms and Conditions ("Terms") govern your Do-Ya Medical Services, LLC use. Platform as an independent medical service provider ("Provider"). By signing up and accessing the platform, you ("Provider") agree to these Terms. Please read them carefully.

1. **Acceptance of Terms**
You agree to abide by these Terms and Conditions by creating an account on the Do-Ya Medical Services, LLC platform. You confirm that you meet all the eligibility requirements and have read, understood, and agree to comply with all applicable local, national, and international laws, rules, and regulations, as well as the specific policies of your country of practice.

2. **Eligibility Requirements**
To register as a provider on Do-Ya Medical Services, LLC, you must:
- Be over 18 years of age.
- Possess a valid license and certification to provide medical or healthcare-related services in your jurisdiction.
- Undergo and pass a background check that includes criminal, professional, and identity verification.
- Maintain professional liability insurance covering the services you offer through the platform.
- Ensure all information provided during registration is accurate, complete, and up to date.

3. **License and Certification Verification**
You are responsible for ensuring that your professional license and certifications are current, valid, and in good standing in every region where you provide services. By registering, you agree to provide verifiable documentation upon request. Do-Ya reserves the right to request additional information or independently verify your credentials.

4. **Background Checks**
Providers must undergo a background check upon registration and periodically after that, as determined by Do-Ya Medical Services, LLC. Background checks include but are not limited to:
- Criminal history
- Professional license verification
- Education and employment verification
- Additional checks may apply for specific services (e.g., motor vehicle reports for mobile services)

Failure to pass a background check or maintain a clean background status will result in the denial or termination of your provider account.

5. **Professional Liability Insurance**
You agree to maintain sufficient professional liability insurance to cover any claims arising from services provided through the platform. Proof of insurance must be submitted during the registration process and kept current throughout your time on the platform.

6. **Independent Contractor Status**
By joining the Do-Ya Medical Services, LLC platform, you acknowledge that you are an independent contractor, not an employee, agent, or representative of Do-Ya. You are solely responsible for determining the manner and means of performing the services and for complying with all applicable laws, including but not limited to tax regulations, health regulations, and local labor laws.

7. **Service Obligations**
As a provider of Do-Ya Medical Services, LLC, you agree to:
- Perform services with the highest standard of care and professionalism.
- Comply with all applicable healthcare laws and regulations in your jurisdiction.
- Provide accurate service descriptions and availability.
- Arrive on time to scheduled appointments and maintain professionalism throughout client interactions.
- Update your availability and ensure accurate scheduling on the platform.
- Communicate promptly with clients in the event of delays or cancellations.
- Only provide services for which you are licensed and qualified.
- Report any issues related to safety, legal, or ethical concerns during service delivery to Do-Ya Medical Services, LLC immediately.

8. **Pricing and Payments**
- You agree to provide services at the prices listed on the Do-Ya Medical Services, LLC platform.
- Do-Ya charges a commission of 10% on each appointment booked through the platform.
- You are responsible for ensuring accurate bank account information when processing payments.
- Payment to providers will be made within seven business days following the completion of services, minus the Do-Ya Medical Services, LLC commission and any applicable fees.
- You are solely responsible for any taxes due on the earnings made through the platform.

9. **Cancellations and No-Shows**
You agree to adhere to Do-Ya Medical Services, LLC's cancellation policies:
- If you need to cancel a scheduled appointment, you must do so at least 24 hours before.
- Repeated cancellations or no-shows may result in penalties, suspension, or account termination.

10. **Client Interactions and Confidentiality**
As a provider, you agree to maintain the highest level of client confidentiality and professionalism. You must not disclose any personal health information (PHI) or clients' confidential information to third parties without explicit consent except as required by Law. Applicable data privacy laws, such as HIPAA or the equivalent in your jurisdiction, must treat all client information accessed through the Do-Ya Medical Services, LLC platform.

11. **Non-Solicitation**
During your time on the Do-Ya Medical Services, LLC platform and 12 months after termination, you agree not to solicit clients you have gained through the platform for private engagements or business outside of the platform.

12. **Platform Use**
You agree not to:
- Use the Do-Ya Medical Services, LLC platform for illegal or unauthorized purposes.
- Interfere with the platform's operation or transmit viruses or malicious code.
- Engage in fraudulent activity or misrepresent your identity, qualifications, or services.
- Attempt to gain unauthorized access to other provider or client accounts.

13. **Termination of Services**
Do-Ya Medical Services, LLC reserves the right to suspend or terminate your account at any time if:
- You fail to comply with these Terms or any applicable laws.
- You provide false or misleading information.
- You fail to maintain proper licenses or insurance.
- You engage in unprofessional conduct or receive multiple negative reviews from clients.
- You fail to maintain required service standards.

14. **Liability**
Do-Ya is not responsible or liable for any provider's actions, omissions, or conduct on the platform. As an independent contractor, you are fully liable for the services you provide to clients, including any legal claims arising from malpractice, injury, or dissatisfaction. You agree to indemnify and hold harmless Do-Ya Medical Services, LLC from any claims, damages, or losses arising from using the platform or services provided to clients.

15. **Governing Law and Dispute Resolution**
These Terms and any disputes arising out of or related to them will be governed by the laws of the State of Florida, USA, without regard to its conflict of law provisions. According to Florida's arbitration rules, any disputes will be resolved through binding arbitration.

16. **Amendments**
Do-Ya Medical Services, LLC reserves the right to modify or update these Terms at any time. Providers will be notified of any material changes, and continued platform use after such modifications constitutes acceptance of the updated Terms.

17. **Severability**
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain valid and enforceable.

18. **Entire Agreement**
These Terms, Do-Ya Medical Services, LLC's Privacy Policy, and other applicable agreements constitute the entire agreement between you and Do-Ya Medical Services, LLC regarding your platform use.

By accessing or using the Do-Ya Medical Services, LLC platform, you agree to comply with these Terms. If you do not agree, you must discontinue using the platform immediately.

2. Eligibility

  • You are responsible for selecting the provider and booking services at your discretion. Do-Ya Medical Services, LLC is not responsible for the services' quality, safety, or legality.

5. Medical Disclaimer

Do-Ya Medical Services, LLC is neither a healthcare provider nor gives medical advice. The information on the platform is provided for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. You should always consult with a qualified healthcare provider for medical concerns. Do-Ya Medical Services, LLC is not liable for any healthcare decisions made by independent providers or any medical outcomes resulting from using the platform.

6. Booking Services

  • You may use the Do-Ya Medical Services, LLC platform to search for and book appointments with healthcare or service providers.

  • Once a booking is made, you enter into a direct contractual relationship with the provider, and any agreements, fees, or arrangements are between you and the provider.

  • Providers will confirm appointments through the platform, and you will receive notifications regarding your booking status.

7. Payments

  • Payments for services booked through the platform must be made using the payment methods available on the Do-Ya Medical Services, LLC platform (e.g., credit card, debit card).

  • A non-refundable booking fee of $2.99 is charged for each appointment.

  • You authorize Do-Ya Medical Services, LLC, to process payments on behalf of providers. Do-Ya Medical Services, LLC will facilitate payment collection and distribution to the provider after service completion.

  • Do-Ya Medical Services, LLC may charge additional fees for premium services or subscriptions, which will be disclosed at the time of purchase.

  • In cases where "cash payment" is allowed, you are responsible for paying the provider directly upon completion of the service.

8. Cancellations and Refunds

  • You may cancel a booked service within 24 hours before the appointment for a full refund, excluding the booking fee.

  • Cancellations made less than 24 hours before the appointment may be subject to a cancellation fee.

  • If a provider cancels your appointment, you will be notified, and Do-Ya Medical Services, LLC will refund any payment made (excluding the booking fee).

  • Refunds will be processed according to the payment method used, and the timeline for receiving them may vary depending on your financial institution.

9. Provider Vetting and Quality Assurance

While Do-Ya Medical Services, LLC makes efforts to verify the credentials of healthcare providers on the platform, we do not guarantee the accuracy of such verification or endorse any specific provider. The patient is responsible for selecting a healthcare provider and should do so with care.

10. Provider Responsibilities

  • The providers listed on Do-Ya Medical Services, LLC are independent professionals responsible for their services.

  • Providers undergo background checks, license verification, and credential assessments as part of Do-Ya Medical Services, LLC's vetting process. Still, Do-Ya Medical Services, LLC does not guarantee the accuracy of this information.

  • Providers are responsible for complying with all laws and regulations regarding their practice.

11. Telemedicine Services

Suppose you use the platform to access telemedicine or virtual healthcare services. In that case, you acknowledge that the provider may be subject to different legal or regulatory requirements based on the jurisdiction in which they operate. Patients are responsible for ensuring that telemedicine services are legal in their location. Do-Ya Medical Services, LLC is not responsible for verifying the legality of telemedicine services.

12. Patient Responsibilities

As a patient using the Do-Ya Medical Services, LLC platform, you agree to:

  • Provide accurate and complete information when booking services, including your health history and service requirements.

  • Attend appointments at the scheduled time or communicate cancellations as required.

  • Treat providers with respect and professionalism.

  • Adhere to any instructions or guidelines the healthcare provider provides during the service.

13. Limitation of Liability

  • Do-Ya Medical Services, LLC is a technology platform that connects users with independent providers; it does not offer healthcare services.

  • Do-Ya Medical Services, LLC will not be liable for any injury, loss, or damages arising from independent providers' services.

  • While Do-Ya Medical Services, LLC takes reasonable steps to verify providers' qualifications, it makes no warranties about the accuracy, reliability, or quality of the services offered by providers on the platform.

  • In no event will Do-Ya Medical Services, LLC be liable for any indirect, incidental, or consequential damages arising from or in connection with your use of the platform or services booked through it.

14. Confidentiality and Privacy

  • Do-Ya Medical Services, LLC respects your privacy and is committed to protecting your data. By using the platform, you consent to Do-Ya Medical Services, LLC collecting, using, and disclosing your information as described in its Privacy Policy.

  • Any personal health information (PHI) you share with providers must be handled according to your jurisdiction's applicable data protection laws, such as HIPAA or its equivalent.

This includes but is not limited to creating false accounts, booking services with malicious intent, or providing false information. Any such behavior may result in immediate termination of your account and potential legal action.

These Terms shall be governed by and construed per the laws of the State of Florida, without regard to its conflict of law provisions.

21. Amendments to the Terms

Do-Ya Medical Services, LLC reserves the right to update or modify these Terms at any time. Changes will be posted on the platform, and continued use after changes are made constitutes your acceptance of the updated Terms.

22. Indemnification

You agree to indemnify and hold harmless Do-Ya Medical Services, LLC, and its affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from using the platform or services booked through it.

23. Subscription or Membership Plans

Patients may opt for a subscription plan that provides benefits such as waived service fees. Subscription fees are non-refundable, and membership plans renew automatically unless canceled before the renewal date. Patients may cancel their subscriptions at any time through their account settings.

24. Intellectual Property

All content, trademarks, and technology on the Do-Ya Medical Services, LLC platform are the property of Do-Ya Medical Services, LLC or its licensors. You agree not to copy, modify, distribute, or create derivative works based on any content or technology on the platform without prior written consent.
